Limited liability statement

The Company disclaims, without limitation, any liability for any Investor’s losses or damages resulting from technical specifications of the provided services, including any direct, indirect or consequential damages (including, without limitation, the following: loss of income, trading losses, losses arising from any kind of delays or failures in the Internet connection, software errors or malfunction and failures on the Markets).

The company is not liable for losses arising from connection problems, any kind of errors and/or distortions in transmission of material via the Internet, occurring other than through fault or default of the Company. The Company is further relieved of responsibility for any third parties liabilities, arising from the Investor’s usage of services supplied by the Company.

The Company, while supplying services to the Investor, is not acting as a tax, legal or investment advisor, therefore is not obliged to provide information and/or analytical materials pertaining to financial markets; if the Company provides such information or analytical materials to the Investor, then all investment decisions, made by the Investor on the basis of the provided information or analytical materials, are made at the Investor’s sole discretion and at his own risk, and not on the basis of the Company’s assertions, guarantees or recommendations.

Taking into account the fact that the Company, while supplying services to the Investor, does not provide brokerage services nor does it effect any deals for the Investor or execute any settlement instructions, the Company does not provide statements of the account, reports and/or any other documents related to financial instrument transactions entered into by the Investor on the Markets while availing of the Company’s services. The Investor, by using the Company’s software, has individual access to statements of account, reports and/or any other documents, featuring a list of effected transactions.

The Investor is liable for the storage of such information. The Investor fully realizes that the Company, acting as an agent by providing the software, is not liable for the accuracy and authenticity of data contained in such statements of account, reports or any other documents, likewise the Company is not responsible for safety and /or recovery of data pertaining to the Investor’s transactions, entered into on the Markets after the closure of the Investor’s Account and/or after the Investor’s access to the Markets is blocked.

The Investor also realizes that the Company will not provide to the Investor historical data about the effected transactions, after 1 (one) year upon the closure of the Investor’s Account and/or after the Investor’s access to the Markets is blocked.

The Company may block the Investor’s access to the Markets in a number of cases, including the cases when the Company discloses a breach of commitment by the Investor. The Company reserves the right to terminate service delivery to the Investor, by giving a 5 days written notice. The Company may unilaterally amend and supplement the Terms and Conditions of Service Delivery to the Investor, advising the Investor of the changes, 5 days prior to the changes coming into force.


Risk Disclosure


The Company declares risks, pertaining to the transactions execution in the securities market, including trading through the Internet (electronic trading systems), such risks associated with possible occurrence of the Investor’s direct losses or damages or lost profits, arising from transaction execution in the financial markets, including trading on the Markets via electronic systems (the Internet).

The Investor acknowledges as having read, fully understood and accepted the below listed risks and undertakes not to file complaints in the event of unfavorable circumstances. The Company hereby advises the Investor of primary potential risks that might be incurred while effecting transactions on the securities market, including trading on the Markets via electronic systems (the Internet):

Risks associated with trading on financial markets:

    • Systemic Risk – the risk subject to financial market performance as a system expressed by potential failures of the system or its components (banking system, clearing-and- settlement system, trading and other systems that influence the financial market performance) to perform its functions.
    • Non-systemic (individual) Risk – the risk of a definite financial market participant: Investor, broker, trustee, trading platform, depositary, bank, issuer, and financial market regulators.
    • Price Risk – the exposure to decrease in market value of the investment portfolio and the loss of entire or some part of the Investor’s funds, invested in the securities, due to inimical price changes on the financial market.
    • Currency Risk – caused by inimical fluctuations in currency rates, as a result inflation may have an effect on the Investor’s assets.
    • Liquidity Risk – risks, connected with certain market conditions (e.g. illiquidity) that may increase the risk of loss by making it difficult or impossible to liquidate/offset the existing positions.
    • Default Risk (Risk of the unfulfilled liabilities) – the risk of loss of assets, resulting from the event of default, insolvency or illegal activities of a financial market participant, who is obliged to discharge obligations to the Investor.
    • Risk of potentially unlimited losses – inherent to trading futures contracts or options. Under certain market conditions, the Investor may sustain substantial losses in excess of the initial margin funds.
    • Risk of the forced position liquidation – certain market conditions, may cause unfavourable price move. As a consequence, the Investor may be called upon to deposit additional margin funds for maintaining the open position. If the required funds are not provided within the prescribed time, the broker will liquidate the open position at a current market value.
    • Tax Risk the risk of possible changes and amendments in tax legislation, leading to decrease in return on assets of the Investor.
    • Political Risk – the risk of adverse changes in the political situation of the country, in which the issuer of securities or another financial market participant resides, that may affect both the securities value and terms and amount of dividends paid.

Risks in relation to electronic trading service (trading via the Internet):
    • The risk of direct or indirect losses, incurred by the Investor, due to malfunction of electronic or telecommunication media or remote banking systems, due to errors associated with market framework irregularity, including transaction execution strategy, management, record and control procedures; or due to unauthorized access to trading by the third parties on behalf of the Investor.

Please note that the foregoing list of risks is not exhaustive, consequently, the Investor may face additional risks connected with trading on the financial market, including risks related to effecting transactions with financial instruments on the Markets via electronic systems (the Internet).
